These proposed regulations provide guidance addressing the application of the stock repurchase excise tax added to section 4501 of the Internal Revenue Code by the enactment of Public Law 117-169, 136 Stat. 1818 (August 16, 2022), commonly referred to as the Inflation Reduction Act of 2022. The proposed regulations in REG-115710-22 contain operative rules that provide taxpayers with guidance on how to calculate the amount of stock repurchase excise tax owed.

These proposed regulations provide guidance addressing the application of the stock repurchase excise tax added to section 4501 of the Internal Revenue Code by the enactment of Public Law 117-169, 136 Stat. 1818 (August 16, 2022), commonly referred to as the Inflation Reduction Act of 2022. The proposed regulations in REG-118499-23 provide procedural rules that prescribe the manner of reporting and paying the stock repurchase excise tax.
